Terms of Use

Last updated : September 4, 2026

Welcome to Kadha.

These Terms of Use govern access to and use of the Kadha platform, its features, its content, and the tutoring services offered on it.

By creating an account, using Kadha, or booking a tutoring session, you agree to these Terms of Use.

If you use Kadha on behalf of a minor child, you confirm that you are authorized to accept these terms on their behalf where required.

1. About Kadha

Kadha is a learning and tutoring platform that combines human support with technological tools to help students in their academic journey.

Depending on the features available, Kadha may offer, among other things:

  • individual or group tutoring sessions;
  • online sessions via videoconference;
  • educational diagnostics;
  • interactive exercises and challenges;
  • educational content;
  • a school planning space;
  • progress tracking;
  • homework and activities;
  • educational recommendations;
  • tools using artificial intelligence;
  • tools for parents to track their child's progress;
  • reward and motivation features;
  • tools for tutors.

Certain features may be added, changed, or removed as Kadha evolves.

2. User Accounts

Certain Kadha features require creating an account.

When creating an account, the information provided must be accurate and reasonably up to date.

Each user is responsible for:

  • protecting their login credentials;
  • not disclosing their password to an unauthorized person;
  • activities carried out from their account;
  • promptly reporting any known or suspected unauthorized use of their account to us.

An account must not be sold, transferred, or shared with a person who is not authorized to use it.

Kadha may implement different types of accounts, including student, parent, tutor, and administrator accounts.

Available features and permissions may vary depending on the user’s role.

3. Minor Users

Kadha is, among other things, intended for minor students.

Accounts for students under 14 must be created or authorized by a parent or legal guardian.

Where parental consent is required by law, the parent or legal guardian must consent to the use of Kadha and to the processing of information necessary for the service to function.

The parent or legal guardian remains responsible for decisions requiring their authorization, particularly those relating to booking or paying for services.

Kadha may make certain features available to parents to track the sessions, activities, and progress of students linked to their account.

4. Tutoring Services

Kadha allows students to receive tutoring services from tutors authorized to use the platform.

Sessions may take place, among other ways:

  • online;
  • in person, where this option is offered;
  • individually;
  • in groups, where this option is offered.

The duration, rate, format, and other characteristics applicable to a session are indicated at the time of booking or communicated before the service is provided.

Tutors may use Kadha's educational tools to prepare sessions, propose exercises, track student progress, and share certain observations with students or their parents.

Kadha and its tutors aim to provide quality educational support. However, no specific academic result, grade, program admission, or exam success can be guaranteed.

A student's results depend, among other things, on their participation, personal effort, attendance, school environment, and many other factors beyond Kadha's control.

5. Booking Sessions

Sessions can be booked according to the availability displayed or agreed upon with the tutor.

A booking is considered confirmed when the user receives confirmation from Kadha or through another authorized means.

It is the responsibility of the student or the responsible parent to verify the session details, including:

  • the date;
  • the time;
  • the format;
  • the tutor;
  • the videoconference link, for an online session.

Kadha may send reminders before sessions, but the absence of a reminder does not exempt the user from attending a confirmed session.

6. Changes, Cancellations, and No-Shows

Unless otherwise stated at the time of booking, a session may be changed or cancelled at no charge up to 24 hours before the scheduled time.

When a session is cancelled less than 24 hours before the scheduled time, Kadha or the tutor may charge all or part of the session price.

A no-show without prior notice may also be charged at the rate applicable to the session.

Exceptions may be granted in certain reasonable circumstances, including emergencies or exceptional situations. Any exception remains evaluated on a case-by-case basis.

When a tutor must cancel a session, it may be rescheduled or, if payment has already been made, credited or refunded depending on the situation.

7. Lateness

A student who arrives late to a session does not automatically receive an equivalent extension.

The tutor will nonetheless make reasonable efforts to make effective use of the remaining time.

When a tutor is responsible for a significant delay, the session may be extended, rescheduled, or adjusted where reasonably possible.

8. Rates

Applicable rates are those indicated on Kadha, in the booking confirmation, or communicated to the user before the service is provided.

Rates may vary depending on, among other things:

  • the type of session;
  • the subject;
  • the grade level;
  • the duration;
  • the individual or group format;
  • the program or service concerned.

Kadha may change its rates.

A rate change does not retroactively change the price of a session already paid for or confirmed at a set rate, except in the case of an obvious error or agreement with the user.

Applicable taxes may be added where required by law.

9. Payments

When online payment is available, payments may be processed by a third-party payment provider.

Applicable payment terms are presented at the time of the transaction.

Kadha does not ask users to send their full payment card numbers directly to a tutor.

When an external payment provider is used, certain transactions may also be governed by that provider's terms and policies.

Kadha may retain certain transaction-related information, including amount, date, status, and identifier, for administrative, accounting, or legal purposes.

10. Google Meet and Videoconferencing Services

Online sessions may be offered using Google Meet or another videoconferencing service supported by Kadha.

When a session is scheduled, Kadha may automatically create a calendar event and a videoconference link to facilitate participation in the session.

Use of a third-party service such as Google Meet may also be subject to that provider's terms and policies.

Users must use session links solely to participate in sessions they are authorized to attend.

A session link must not be shared publicly or with an unauthorized person.

11. Google Calendar

Certain users may connect their Google account to Kadha to use calendar features.

This connection is optional.

When the user authorizes this connection, Kadha may use the granted permissions to create or manage events necessary for sessions and request the creation of Google Meet links.

The user may withdraw this authorization.

The terms regarding the processing of data obtained through Google APIs are explained in Kadha's Privacy Policy.

12. Artificial Intelligence

Certain Kadha features use artificial intelligence systems.

These features may be used, among other things, to:

  • generate exercises;
  • explain certain concepts;
  • suggest educational activities;
  • analyze progress-related information;
  • prepare work plans;
  • generate summaries;
  • help tutors prepare or personalize their sessions;
  • provide educational assistance to students.

Results produced by artificial intelligence may contain errors, omissions, or inaccurate information.

They should be considered assistance tools, not an infallible source.

Where appropriate, tutors may review, adapt, or correct content proposed by automated tools.

Users must not use Kadha's artificial intelligence features to obtain or transmit illegal, dangerous, fraudulent, abusive content, or content that infringes another person's rights.

13. Academic Integrity

Kadha is designed to help students understand, practice, and progress.

Kadha's features must not be used to circumvent the rules of a school or educational institution.

It is, among other things, prohibited to use Kadha to cheat on an exam, assessment, or activity for which outside assistance is prohibited.

Kadha can help a student understand a subject, review their work, practice a skill, or learn a method, but the student remains responsible for complying with their institution's academic integrity rules.

14. Kadha Rewards

Kadha may offer a rewards program designed to encourage attendance, progress, engagement, or certain learning habits.

Users may receive points or other forms of rewards according to the rules of the program in effect.

Unless otherwise stated, Kadha points:

  • do not constitute money;
  • do not constitute a bank account or financial product;
  • cannot be transferred or sold;
  • have no monetary value outside of the rewards expressly offered by Kadha.

Certain rewards may take the form of gift cards, benefits, or other rewards determined by Kadha.

Eligibility criteria, accumulation periods, and available rewards may vary.

Kadha may refuse or withdraw points obtained as a result of an error, fraud, manipulation, or abuse of the system.

When significant changes are made to how the Rewards program operates, Kadha will seek to reasonably inform affected users.

15. Educational Content

Worksheets, exercises, diagnostics, challenges, explanations, interfaces, graphic elements, and other content created or provided by Kadha may be protected by intellectual property rights.

Unless otherwise authorized, a personal, limited, non-exclusive, and non-transferable license is granted to the user to use this content as part of their learning or authorized use of Kadha.

Without prior authorization, it is prohibited to:

  • resell Kadha's content;
  • systematically republish the content;
  • reproduce a substantial portion of the educational library for the purpose of creating a competing service;
  • remove intellectual property notices;
  • use the content in a manner that infringes Kadha's rights or those of a third party.

Original work, answers, and other original content created by a student remain the property of their author, subject to the rights necessary granted to Kadha to provide the requested features.

16. Acceptable Use

By using Kadha, the user agrees not to:

  • share their account with an unauthorized person;
  • attempt to access another user's account;
  • circumvent security measures;
  • intentionally disrupt the platform's operation;
  • introduce malicious software;
  • use unauthorized automated methods to bulk-extract data or content;
  • harass, threaten, or intimidate a student, parent, tutor, or Kadha team member;
  • post or transmit illegal or clearly abusive content;
  • impersonate another person;
  • use Kadha to commit fraud;
  • use the platform in a manner contrary to applicable laws.

17. Conduct During Sessions

Students, parents, and tutors must maintain respectful conduct during sessions and in their communications.

Discriminatory, threatening, sexually inappropriate, violent, harassing, or otherwise dangerous behavior is not tolerated.

Kadha may interrupt a session or suspend an account when behavior poses a risk to a student, tutor, or another person.

When a minor student participates in a session, tutors must also comply with Kadha's rules and procedures applicable to interactions with minors.

18. Recording Sessions

A tutoring session must not be recorded by a participant without the people concerned having been informed and the necessary consents obtained.

If Kadha later introduces an official session recording, transcription, or automated analysis feature, affected users will be informed of the applicable terms before its use where required by law.

19. Availability of Kadha

We aim to keep Kadha accessible and functional, but we do not guarantee permanent or uninterrupted availability.

Certain features may be temporarily unavailable due to, among other things:

  • maintenance;
  • an update;
  • a technical incident;
  • an outage at an external provider;
  • an event beyond our control.

Kadha may also modify, replace, or remove certain features as the platform evolves.

20. Third-Party Services

Certain Kadha features depend on services provided by third parties, including videoconferencing, infrastructure, payment, or artificial intelligence services.

Kadha does not exercise complete control over these external services.

Use of certain third-party services may be subject to the terms and privacy policies of their providers.

21. Limitation of Liability

Kadha makes reasonable efforts to provide a reliable platform and quality educational services.

However, to the extent permitted by law, Kadha does not guarantee:

  • a specific academic result;
  • a determined grade improvement;
  • passing an exam;
  • admission to an institution or program;
  • that any educational or automatically generated content will be error-free;
  • that the service will be available without interruption.

Nothing in these Terms excludes or limits any liability that cannot legally be excluded or limited under applicable consumer protection or other laws.

22. Account Suspension and Closure

A user may request the closure of their account at any time.

Kadha may limit, suspend, or close an account, including in cases of:

  • significant or repeated violation of these Terms;
  • fraud or attempted fraud;
  • misuse of the platform;
  • behavior endangering other users;
  • attempting to compromise Kadha's security;
  • legal obligation.

Where reasonably possible and appropriate, Kadha may warn the user before a suspension or closure.

Certain obligations may continue to apply after account closure, including those relating to payments already owed, intellectual property, and legal obligations.

23. Protection of Personal Information

Using Kadha involves the processing of certain personal information.

How this information is collected, used, protected, retained, and deleted is described in Kadha's Privacy Policy.

For any questions regarding personal information, the user may use the contact details indicated in that policy.

24. Changes to the Terms of Use

Kadha may modify these Terms to reflect, among other things:

  • new features;
  • changes made to the services;
  • legislative or regulatory changes;
  • changes to our practices.

The date of the last update is indicated at the top of the document.

When a significant change materially affects users’ rights or obligations, Kadha may notify affected users by email, within the platform, or by another appropriate means.

25. Governing Law

These Terms are governed by the applicable laws of the province of Quebec and Canada, subject to any mandatory rights a consumer may have under applicable law.

Any dispute will be handled in accordance with applicable laws and jurisdictional rules.
